Government agencies, including state filing offices and the IRS, independently control application processing, approvals, processing times, requirements, and decisions. USA Business Launch does not guarantee the approval, acceptance, processing time, tax treatment, banking approval, business success, or other outcome of any application or service.
To the fullest extent permitted by applicable law, USA Business Launch shall not be liable for any indirect, incidental, consequential, special, or business-related losses arising from or related to the use of our services, including delays, rejections, government actions, inaccurate information provided by a client, loss of business opportunities, or compliance issues resulting from the client's actions or omissions.
Clients are responsible for providing accurate information and for maintaining their business's ongoing legal, tax, regulatory, and compliance obligations. Where professional advice is required, clients should consult an appropriately licensed attorney, tax professional, accountant, or immigration professional.

USA Business Launch provides business formation and business-support services designed to assist entrepreneurs and businesses establishing or expanding their presence in the United States.
Our services may include, depending on the package selected:

The specific services included in your purchase will depend on the package, order, or service agreement you select.
2. We Are Not a Law Firm
USA Business Launch is not a law firm and does not provide legal representation.
Unless specifically provided by an appropriately licensed professional engaged separately for that purpose, our services are administrative, informational, filing, and business-support services.
We do not provide:

- Legal representation
- Personalized legal opinions

- Tax advice
- Accounting advice
- Investment advice
- Immigration legal advice

3. Services Are Provided at Your Direction
You authorize USA Business Launch to prepare and/or submit applicable documents based on the information and instructions you provide.
You are responsible for reviewing the information you provide and confirming that it is accurate and complete before submission.
We are not responsible for delays, rejections, additional fees, or other consequences resulting from inaccurate, incomplete, outdated, or misleading information supplied by you.
4. State Filing Requirements
Business formation requirements vary from state to state. Government agencies determine:
- Whether a business name is available
- Whether a filing is accepted
- Filing requirements
- Filing fees
- Processing times
- Additional documentation requirements
- Annual-report requirements
- Franchise-tax obligations
- Other state-specific compliance requirements
USA Business Launch does not control state government processing times or decisions. A state may reject, modify, request additional information for, or otherwise delay a filing. Government agencies may also make changes to filing requirements or procedures after an order has been placed.
5. Business Name Availability
Submitting a business name does not guarantee that the name will be approved. A state may:
- Reject a proposed name
- Determine that the name is unavailable
- Require a name modification
- Require additional wording
- Add or require certain words, prefixes, or suffixes
- Determine that the name is confusingly similar to another business
USA Business Launch is not responsible for government decisions regarding business-name availability or approval.
6. Government Fees
Unless expressly stated otherwise, government filing fees, state fees, expedited-processing fees, publication fees, franchise taxes, annual-report fees, registered-agent fees, and other governmental or third-party charges may be separate from our service fees. Government fees are determined by the applicable government agency and may change without notice.
7. Processing Times
We provide estimated processing times where available. However, processing times are estimates only. USA Business Launch does not guarantee that a state, the IRS, FinCEN, or any other government agency will process a filing or application within a particular period. Government delays, holidays, system outages, name issues, additional-document requests, and other circumstances may affect processing times.
8. EIN Services
Where requested, USA Business Launch may assist with obtaining an Employer Identification Number (EIN). The IRS controls the issuance of EINs. We do not guarantee the timing or outcome of an EIN application. Clients are responsible for providing accurate information and meeting applicable IRS requirements.
9. Registered-Agent Services
Where registered-agent services are purchased, the service is subject to the terms, coverage period, state requirements, and renewal conditions applicable to the selected service. Clients remain responsible for maintaining required business registrations and ensuring that their registered-agent service remains active where required by law. Failure to maintain a required registered agent may result in administrative consequences imposed by the applicable state.
10. Ongoing Business Compliance
Forming a company does not automatically make a business compliant with all applicable laws. Depending on your business, you may have ongoing obligations involving:
- Annual reports
- State taxes
- Franchise taxes
- Federal taxes
- Sales taxes
- Local licenses
- Industry-specific licenses
- Business permits
- Foreign qualification
- Beneficial ownership or other federal reporting requirements where applicable
- Employment requirements
- Other regulatory obligations
Clients are responsible for understanding and maintaining their ongoing legal and tax obligations. USA Business Launch may offer compliance-support services, but such services do not replace professional legal or tax advice.
11. Operating in Other States
Forming a company in one state does not necessarily authorize a business to operate in every other state. If your business has employees, offices, inventory, physical operations, customers, economic activity, or other connections in another state, you may have additional registration, licensing, tax, or compliance requirements. You are responsible for determining whether your business must register or qualify to do business in another state. We can provide general information or assistance where such services are offered, but we do not guarantee that a particular business structure satisfies every state or local requirement.
12. Non-U.S. Residents and International Business Owners
USA Business Launch welcomes entrepreneurs and business owners located outside the United States. However, forming a U.S. company does not automatically provide a person with the right to live, work, or physically operate a business in the United States. Business ownership, immigration status, work authorization, tax residency, and permission to conduct physical activities in the United States are separate matters. International clients are responsible for obtaining appropriate professional advice regarding their immigration, tax, and regulatory obligations.
13. Business Visa and Immigration-Related Services
Where USA Business Launch provides business visa information, guidance, preparation assistance, or referral services, such services are intended to assist clients in understanding available processes and preparing for the business-related aspects of their plans. We do not guarantee the approval of any U.S. visa, immigration application, petition, or entry into the United States. We are not an immigration law firm and do not provide immigration legal representation unless expressly provided by an appropriately licensed immigration attorney through a separate professional engagement. Government agencies make the final determination regarding visa applications and immigration matters.
14. Banking and Financial Services
Where we provide assistance or information relating to business banking, financial institutions independently determine whether an applicant qualifies for an account or financial product. USA Business Launch does not guarantee approval by any bank or financial institution. Banking relationships are subject to the institution's own policies, identity-verification requirements, compliance procedures, and eligibility standards.
15. Websites, Branding and Other Business Services
If you purchase website development, branding, graphic design, marketing, or other business-support services, the scope of work will be determined by the applicable package, proposal, order, or agreement. Additional services or revisions outside the agreed scope may be subject to additional fees.
16. Payments
Payment is required according to the pricing and payment terms presented when an order is placed. By submitting payment, you authorize the applicable payment processor to charge the payment method you provide. Certain government fees and third-party fees may be non-refundable once paid or submitted.
17. Refunds and Cancellations
Refund eligibility depends on the service purchased and the stage at which work has commenced. Once a government filing has been prepared, submitted, processed, or a third-party service has been initiated, certain fees may no longer be refundable. Government filing fees and other third-party charges may be non-refundable. Any applicable refund terms presented during checkout or in a separate service agreement will also apply.
18. No Guarantee of Business Success
USA Business Launch provides business formation and support services. We do not guarantee:
- Business profitability
- Revenue
- Sales
- Customer acquisition
- Financing
- Banking approval
- Credit approval
- Visa approval
- Tax outcomes
- Government approval
- Business-name approval
- Business survival or success
The success of your business depends on numerous factors outside our control.
19. Accuracy of Client Information
You agree to provide complete, accurate, and current information when using our services. You must not provide false, fraudulent, misleading, or unauthorized information. You are responsible for reviewing all documents and information before submission.
20. Limitation of Liability
To the maximum extent permitted by applicable law, USA Business Launch and its owners, employees, contractors, affiliates, and service providers will not be responsible for indirect, incidental, consequential, special, or punitive damages arising from your use of our website or services. We are not responsible for delays, rejections, errors, or decisions made by government agencies, financial institutions, third-party service providers, or other entities outside our reasonable control.
21. Events Outside Our Control
We are not responsible for delays or failures caused by circumstances beyond our reasonable control, including:
- Government delays
- Government shutdowns
- Changes in laws or regulations
- System outages
- Cybersecurity incidents
- Natural disasters
- Internet or telecommunications failures
- Payment-processing disruptions
- Third-party service interruptions
- Labor disputes
- Other force-majeure events
22. Intellectual Property
Unless otherwise stated, the USA Business Launch website, branding, graphics, text, logos, designs, content, and other materials are owned by or licensed to USA Business Launch and may not be reproduced, copied, modified, distributed, or commercially exploited without permission.
